We draft, negotiate, and review all governance documents and advise on best practices, including but not limited to drafting, negotiating, and reviewing limited liability company, partnership, shareholder, and joint venture agreements; negotiating ISDAs; representing buyers and sellers in assorted complex mergers & acquisitions, financings and closings, due diligence compilations and commercial leases. To complement our compliance practice and further our interest in the best corporate and legal ethics, we also craft educational documents on how to handle a data breach, and how to build compliant employee work environments and privacy policies that are in step with consumer protection rules. To best represent our clients, we maintain open communication with regulators including commissioners and attorneys’ general. In this vein, we represent clients in legal proceedings before state and national regulatory bodies when potential non-compliance issues emerge. In these cases, we turn to our established knowledge of regulatory law, relationships with governing bodies and key staff, and our reputation as strong advocates to accomplish our clients’ goals.
